These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," "Customer," "User") and CrownThrive, LLC ("CrownThrive," "we," "us," "our"). These Terms govern access to and use of ThriveMaps (the "Service"), including any websites, apps, dashboards, features, tools, and related services we provide.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to these Terms.

1. Definitions

1.1 Service
"Service" means ThriveMaps, including all features such as onboarding flows, product boards, feedback collection, voting, comments, public sharing links, statuses, archives, exports, integrations, and any related functionality.
1.2 Account
"Account" means an account created to access or use the Service.
1.3 Customer Content
"Customer Content" means any content or data submitted to the Service by you or your authorized users, including feedback items, posts, comments, votes, attachments, labels, statuses, product names, roadmaps, and exports.
1.4 Public Pages
"Public Pages" means any pages or links made accessible to the public or third parties through the Service, including public sharing links, public boards, and standalone pages.
1.5 Subscription
"Subscription" means a paid plan with recurring billing, including any trial, discounted, promotional, annual, monthly, or other plan we offer.
1.6 CrownThrive Ecosystem
"CrownThrive Ecosystem" means CrownThrive platforms, tools, brands, and related systems that may interoperate via links, embeds, workflows, or internal routing.

2. Eligibility and Authority

2.1 Age and Legal Capacity
You must be at least the age of majority where you live to use the Service.
2.2 Organizational Use
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.3 Legal Restrictions
You may not use the Service if you are prohibited from doing so under applicable law.
3. Changes to These Terms
3.1 Updates
We may update these Terms from time to time.
3.2 Notice
If changes are material, we will take reasonable steps to provide notice, for example through the Service or by email.
3.3 Continued Use
Continued use of the Service after changes take effect means you accept the updated Terms.
4. The Service and How It Works
4.1 Purpose
ThriveMaps is a product feedback and roadmap system designed to help teams collect ideas, prioritize work, communicate updates, and coordinate delivery.
4.2 Feature Changes
We may modify, add, or remove features, and we may release features in beta.
4.3 Beta Features
Beta features are provided as-is and may change or be removed at any time.
4.4 Platform Stability Limits
We may impose reasonable technical limits to protect platform stability, including rate limits, abuse controls, feature gating, and storage thresholds, including on unlimited plans.
5. Accounts, Teams, and Access Control
5.1 Responsibility
You are responsible for all activity under your Account and for maintaining appropriate access controls.
5.2 Accurate Information
You must provide accurate information and keep it current.
5.3 Authorized Users
You are responsible for your authorized users and their compliance with these Terms.
5.4 Security Notice
You must promptly notify us at contact@crownthrive.com if you believe your Account has been compromised.
6. Plans, Trials, Billing, and Taxes
6.1 Plan Types and Limits
The Service may offer free trials, free plans, and paid plans. Plan limits may include maximum users, maximum products, maximum feedback items, exports, integrations, and other constraints.
6.2 Trials
Trials provide temporary access to the Service. At the end of a trial, access may be reduced, paused, or require an upgrade to continue using certain features. Trial terms, duration, and eligibility may vary.
6.3 Billing and Auto-Renewal
If you purchase a Subscription, you authorize us and our payment processors to charge applicable fees on a recurring basis until you cancel.
6.4 Pricing Changes
We may change pricing or plan structure. Pricing changes apply at renewal or as otherwise permitted by law, with reasonable notice where required.
6.5 Taxes
Prices may exclude taxes. You are responsible for any applicable taxes, duties, or government assessments.
6.6 Late Payments
If payment fails, we may suspend or restrict your access until payment is received. You are responsible for any fees incurred due to chargebacks or collection activity.
7. Refunds, Cancellations, and Downgrades
7.1 Refund Policy
Unless required by law, fees are non-refundable once paid, including unused time, partial periods, or unused capacity.
7.2 Cancellation
You may cancel a Subscription at any time. Cancellation takes effect at the end of the current billing period unless otherwise stated.
7.3 Downgrades
If you downgrade, you may lose access to certain features or exceed plan limits. You are responsible for managing your content and users to remain within plan limits.
7.4 Chargebacks
Initiating a chargeback without first contacting support may result in suspension or termination of your Account.
8. Acceptable Use and Prohibited Conduct
8.1 Prohibited Activity
You agree not to, and not to allow others to:
  • Use the Service for illegal, harmful, deceptive, or fraudulent activity.
  • Upload or share content that infringes intellectual property or privacy rights.
  • Harass, abuse, threaten, or defame others.
  • Distribute malware, attempt unauthorized access, probe or scan for vulnerabilities, or disrupt the Service.
  • Scrape, crawl, or harvest data at scale without written permission.
  • Circumvent plan limits, technical restrictions, or security controls.
  • Use the Service to create or distribute content that is unlawful, exploitative, or otherwise prohibited by applicable law.
8.2 Enforcement
We may remove content, restrict features, or suspend Accounts that violate these Terms.
9. Customer Content, Ownership, and License
9.1 Your Ownership
As between you and CrownThrive, you retain ownership of your Customer Content.
9.2 License to Operate
You grant CrownThrive a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify for formatting and technical purposes, transmit, and display Customer Content solely to operate, maintain, and improve the Service, provide support, prevent abuse, and comply with legal obligations.
9.3 Public Sharing
If you publish Public Pages or share public links, you understand that Customer Content may be accessible to anyone with access to the link or page, subject to your settings and our platform controls.
9.4 Product Feedback to CrownThrive
If you submit ideas, suggestions, or feedback about the Service itself, you grant us a perpetual, irrevocable, worldwide license to use it without compensation.
10. Moderation and Removal
10.1 No Duty to Monitor
We do not guarantee that all Customer Content will be reviewed.
10.2 Removal Rights
We may remove or restrict access to any content that we reasonably believe violates these Terms, the law, or poses risk to the Service or others.
10.3 Preservation and Disclosure
We may preserve or disclose information if required by law or if reasonably necessary to enforce these Terms, protect rights, prevent fraud, or address security issues.
11. Intellectual Property and Branding
11.1 CrownThrive IP
The Service, including software, UI, templates, workflows, design elements, and all related IP, is owned by CrownThrive or its licensors and is protected by intellectual property laws.
11.2 Trademarks
CrownThrive names, logos, and marks, including CrownThrive and ThriveMaps, are trademarks of CrownThrive. You may not use them without our written permission, except as permitted for truthful reference.
11.3 Reservation of Rights
All rights not expressly granted are reserved.
12. Integrations and Third-Party Services
12.1 Third-Party Terms
The Service may integrate with third-party services, including payment processors and communication providers. Third-party services are governed by their own terms and privacy policies.
12.2 No Responsibility for Third Parties
We are not responsible for third-party services, outages, changes, or losses caused by third parties.
13. Support and Communications
13.1 Support Channels
Support resources are provided through ThriveSupport at crownthrivesupport.com and by email at contact@crownthrive.com.
13.2 Operational Messages
We may send operational communications related to your use of the Service, including billing notices, security alerts, and service updates.
13.3 Marketing Messages
Marketing communications, if any, will be provided consistent with applicable law and your settings where required.
14. Privacy and Data Handling
14.1 Privacy Policy
Our handling of personal data is described in our Privacy Policy, which is incorporated by reference.
14.2 Your Compliance
You are responsible for ensuring you have the right to submit Customer Content, including any personal data, and that your use complies with applicable privacy laws.
14.3 Retention
Data retention and deletion practices may vary by plan and operational requirements. We may retain certain data as required by law, for security, for dispute resolution, or for legitimate business purposes.
15. Security
15.1 Reasonable Measures
We use commercially reasonable measures intended to protect the Service. No system is perfectly secure.
15.2 Your Responsibilities
You are responsible for maintaining the security of your devices, passwords, and any access credentials.
16. Service Availability, Changes, and Suspension
16.1 No Guarantee
We aim for reliable availability, but we do not guarantee uninterrupted operation.
16.2 Maintenance and Protection
We may suspend or limit the Service for maintenance, security, legal compliance, or to prevent harm.
16.3 Suspension and Termination
We may suspend or terminate Accounts for violations of these Terms, nonpayment, suspected abuse, or risk to the platform.
17. Termination
17.1 By You
You may stop using the Service at any time. You may cancel your Subscription as described in Section 7.
17.2 By Us
We may terminate or suspend access if you violate these Terms or if we reasonably believe continued access poses risk.
17.3 Effect
Upon termination, your access ends. We may delete Customer Content after a reasonable period, subject to legal and operational requirements. We are not liable for deletion or loss of Customer Content.
18. Disclaimers
18.1 As-Is
THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS.
18.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWNTHRIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
18.3 No Guaranteed Results
We do not guarantee outcomes, performance improvements, revenue, growth, or specific results from using ThriveMaps.
18.4 Directional Roadmaps
Any references to frameworks, systems, or future capabilities are directional and not a promise of delivery on any timeline.
19. Limitation of Liability
19.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWNTHRIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
19.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWNTHRIVE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO CROWNTHRIVE FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
19.3 Jurisdictional Limits
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold harmless CrownThrive, its affiliates, and their officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Service, your Customer Content, your violation of these Terms or applicable law, or your infringement of any third-party rights.
21. Compliance With Laws and Export Controls
21.1 Legal Compliance
You agree to comply with all applicable laws, regulations, and rules related to your use of the Service.
21.2 Export Controls
You may not use the Service where prohibited by export control, sanctions, or other applicable restrictions.
22. DMCA and Copyright Complaints
If you believe content on the Service infringes your copyright, you may send a notice to contact@crownthrive.com with sufficient detail to identify the material and the basis for your claim. We may remove content and, where appropriate, terminate repeat infringers.
23. Governing Law and Venue
23.1 Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law principles.
23.2 Venue
Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in or serving Pittsylvania County, Virginia, and you consent to jurisdiction and venue in those courts.
23.3 International Users
If you are located outside the United States, you understand and agree that you are contracting with a US-based company and that disputes will be handled under this section, subject to any non-waivable rights under applicable law.
24. General Terms
24.1 Entire Agreement
These Terms, together with any documents incorporated by reference, form the entire agreement regarding the Service.
24.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
24.3 No Waiver
Failure to enforce a provision is not a waiver.
24.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
24.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control.
24.6 Interpretation
Headings are for convenience only and do not affect interpretation.
